Terms of Service
Effective date: March 9, 2026
These Terms of Service ("Terms") govern access to and use of the Paritai web application and related services provided by Anonymous Function LLC ("Paritai," "we," "our," or "us"). By accessing or using Paritai, you agree to these Terms.
1. Eligibility and Authority
You represent that you are authorized to bind your organization and that your use of Paritai complies with applicable law, payer rules, professional obligations, and contractual commitments.
2. Service Scope
Paritai provides software tools for denial prevention, denial workflow support, appeal drafting support, prior-authorization tracking, and compliance operations support. Paritai does not provide legal advice, medical advice, or payer-guaranteed outcomes.
3. Account Security
- Maintain accurate account information.
- Protect credentials and enforce least-privilege access in your organization.
- Promptly notify Paritai of unauthorized account use or security incidents.
4. HIPAA, PHI, and Business Associate Agreement
If customer workflows involve PHI, an executed BAA and required compliance controls are expected before production PHI processing. Customer is responsible for determining whether customer data includes PHI and for configuring Paritai use accordingly.
Customer remains responsible for notices, consents, permissions, and legal basis required to upload/process customer data in Paritai.
5. Customer Responsibilities
- Ensure submitted claims data and supporting documentation are lawful and accurate.
- Review Paritai outputs before payer submission or operational use.
- Use Paritai in compliance with professional standards and payer requirements.
- Do not upload data you are not authorized to process.
6. Fees and Billing
Fees are based on the applicable order form or current plan selected in the product (for example, Pilot, Professional, or Enterprise). Unless otherwise agreed, fees are non-refundable except where required by law.
7. Acceptable Use Restrictions
You agree not to:
- Use Paritai for unlawful, fraudulent, abusive, or deceptive purposes.
- Reverse engineer, benchmark for competitive misuse, or bypass security controls.
- Interfere with system integrity, availability, or other customer environments.
- Use Paritai outputs as a substitute for required clinical, legal, or billing judgment.
8. Intellectual Property
Paritai retains all rights in the service, software, and documentation. Customer retains rights in customer data. Customer grants Paritai the rights needed to process customer data solely for providing and improving services, subject to contractual and legal limits.
9. Confidentiality
Each party will protect confidential information received from the other using reasonable safeguards and will use it only for permitted purposes under these Terms and related agreements.
10. Availability and Changes
Paritai may modify features, APIs, or workflows over time. We will use reasonable efforts to provide notice for material changes that negatively affect customer use.
11. Disclaimer of Warranties
Paritai is provided on an "as is" and "as available" basis, except as expressly stated in a signed agreement. Paritai disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent allowed by law, Paritai will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits/revenue/data. Aggregate liability is limited to fees paid by customer in the 12 months preceding the event giving rise to the claim, unless a signed agreement states otherwise.
13. Indemnification
Customer will defend and indemnify Paritai against third-party claims arising from customer data, unlawful use, or violation of these Terms, except to the extent caused by Paritai's breach of these Terms.
14. Termination
Either party may terminate according to the governing order form or subscription terms. Paritai may suspend or terminate access for material breach, security risk, or legal compliance requirements.
15. Governing Law
Unless otherwise stated in a signed agreement, these Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules.
16. Changes to Terms
Paritai may update these Terms periodically. Continued use after the effective date of an updated version constitutes acceptance of the revised Terms.
